1. Agreement, who we are and key terms
These Terms of Service form a binding agreement between you and 360 IDEAS, a marketing and advertising technology company based in Accra, Ghana (“360 IDEAS”, “we”, “us”). They apply when you use our website, book a consultation, engage our services, or use Campaign Portal. By doing any of these, or by clicking to accept, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use our website or services.
If you accept on behalf of a business, you confirm you have authority to bind it, and “you” means that business. Our services are for businesses and adults aged 18 or over.
Where a signed proposal, quotation, order form or service agreement (an “Order”) conflicts with these Terms, the Order wins for that engagement only.
| Term | Meaning |
| Services | Our agency services and Campaign Portal, together. |
| Agency services | Marketing, advertising and related work we deliver for you (see Section 2). |
| Campaign Portal | Our client portal at camp.3sixtyideas.com, including its features, updates and support. |
| Client | A business that engages our Services or subscribes to Campaign Portal. |
| User | Any person with a Campaign Portal login, including your team members you invite. |
| Client data | Information, files and content you or your users submit, and data synced from ad accounts you connect. |
| Deliverables | The final, approved work we produce for you under an Order. |
| Ad spend | Money paid to ad platforms or media owners to run ads, separate from our fees. |
2. Our services
Agency services. We provide marketing, advertising and business growth services. These include market research, brand strategy and development, customer segmentation, social media management and campaigns, content marketing, SEO, email marketing, paid advertising and media buying, influencer marketing, livestream commerce, product video shoots, web design and development, traditional media (TV, radio, print, out-of-home), and analytics and reporting. We deliver them through consultations, packages (such as Essential, Growth and Domination), retainers, projects or custom scopes, as set out in your Order.
Campaign Portal. Campaign Portal is our client portal. Depending on your plan, it lets you see live campaign performance from connected ad accounts, review and approve content, message our team, manage brand assets, track budgets and spend, receive scheduled reports, and control your team’s access by role. Agency clients may receive Campaign Portal access as part of their package; it may also be offered as a separate subscription.
We may improve, change or retire features of our Services over time. We will not materially reduce the core Services you have paid for during a paid term without notice and, where appropriate, a fair adjustment.
3. Consultations, proposals and starting work
We may offer free or paid consultations to understand your business, goals and needs. A consultation does not oblige either of us to work together, and booking one does not create a client relationship.
After a consultation, we may send a proposal or quotation setting out scope, deliverables, timeline, fees and payment terms. A client relationship begins when you accept the Order (in writing, by signature, by email, or online) and pay any required deposit or first payment. Work begins only after that payment is received.
Timelines depend on scope, your responsiveness, revisions, campaign requirements and third parties. We make reasonable efforts to meet agreed dates but are not responsible for delays caused by late input, approvals or payment, or by events outside our control.
Revisions are included only as stated in your Order and must relate to the agreed scope. New concepts, additional pages or designs, new campaign directions or major changes may cost extra; we will tell you before doing chargeable work.
4. Fees, payments, taxes and ad spend
Fees. Our fees may be fixed packages, monthly or quarterly retainers, project fees, Campaign Portal subscriptions or custom quotations. Prices on our website can change and are confirmed in your Order before work begins. Unless stated otherwise, fees are in Ghana Cedis (GHS).
Payment. Invoices are due within [PAYMENT TERMS: 7 days] unless your Order says otherwise. Pay only through the channels we provide. If payment is late, we may pause work or Campaign Portal access after giving you notice, and may charge interest at [LATE PAYMENT RATE] on overdue amounts. You are responsible for bank, mobile money or transfer charges on your side.
Subscriptions. Campaign Portal subscriptions and retainers renew automatically for the same period unless either party gives notice before the renewal date, as set out in Section 13. We will give at least 30 days’ notice of any price change, which applies from your next renewal.
Taxes. Fees exclude VAT and other applicable taxes and levies, which we add where the law requires.
Ad spend and third-party costs. Ad spend is separate from our fees unless your Order clearly says otherwise. You fund your ad accounts, approve budgets, and pay platform charges directly or reimburse us. Other third-party costs, such as influencer fees, production, printing, media placement, software, travel and transport, are also extra unless included in your Order. We will get your approval before committing these costs on your behalf.
5. Client responsibilities and approvals
To help us deliver good work, you agree to:
- Give accurate and complete information about your business, products, offers and audience.
- Provide brand assets, materials, feedback and approvals on time.
- Grant the access we need to social media pages, ad accounts, websites or tools, preferably through each platform’s partner or role-based permissions rather than sharing passwords.
- Make sure your products, claims, offers and promotions are lawful, truthful and allowed on the platforms we use, including any sector rules (for example health, finance, alcohol or betting).
- Confirm you have the rights to everything you give us: logos, images, video, music, fonts, text and data, including any customer data, which you must have collected lawfully with any consent required.
- Keep your Campaign Portal login details secure and tell us promptly about any unauthorised access.
Approvals. When you approve content, budgets or campaigns (in Campaign Portal, by email or by message), you confirm it is accurate and authorised for publication or spend. We are not responsible for errors in content you have approved. Where an Order allows, content not responded to within the agreed review period may be treated as approved; we will remind you before relying on this.
We are not responsible for delays or poorer results caused by incomplete, late or inaccurate input from you.
6. Campaign Portal
Plans and limits. Your plan, its features and usage limits (such as active campaigns, users or brand workspaces) are shown on our pricing page or in your Order. Launch offers, such as Founding Member pricing, apply only as described in the offer or Order.
Accounts and users. Your account Owner controls your Campaign Portal account. The Owner can invite users, assign roles, and remove access at any time. You are responsible for everything done under your account and for your users following these Terms. Each login is for one named person and must not be shared. Two-factor authentication is mandatory for all users.
Connected ad accounts. When you connect an ad account (such as Meta, Google Ads, TikTok or LinkedIn), you confirm you are authorised to do so, and you allow Campaign Portal to read that account’s campaign and performance data to show you results and support our services. Your use of those platforms remains subject to their own terms. You can disconnect at any time from Settings or from the platform itself. Synced metrics depend on the platforms’ APIs and may be delayed, sampled, revised by the platform, or temporarily unavailable.
Availability and support. We aim to keep Campaign Portal available and secure, but we do not promise uninterrupted or error-free service. We may carry out planned maintenance, usually outside Ghana business hours, and will try to give notice of planned downtime that affects you. Support is provided through Campaign Portal messaging, email or phone during business hours, at the level your plan or package includes.
Beta features. We may offer early or beta features. They are provided as they are, may change or be withdrawn, and are excluded from any service commitments.
7. Acceptable use
You must not use our website, Services or Campaign Portal to:
- Break any law, or advertise anything illegal, fraudulent, misleading or harmful.
- Infringe anyone’s intellectual property, privacy or other rights.
- Upload malware, or try to probe, scan, hack or disrupt our systems or other clients’ accounts.
- Access data or accounts you are not authorised to use, or bypass roles, limits or security controls.
- Copy, resell, sublicense, reverse engineer or build a competing product from Campaign Portal, except where the law expressly allows.
- Scrape or extract data from Campaign Portal by automated means without our written permission.
- Harass, abuse or threaten our staff, partners or other users.
- Breach the policies of ad platforms or social networks connected to our Services.
We may refuse to run content or campaigns that we reasonably believe breach the law, platform rules or these Terms, or that could harm our reputation.
8. Third-party platforms, influencers and partners
Our Services leverage third parties such as ad platforms, social networks, influencers, media owners, production crews, printers, software providers, booking tools and payment processors. They have their own terms, fees and policies.
We coordinate these parties on your behalf where agreed, but we are not responsible for their acts, failures, delays, pricing changes, misconduct, outages, account restrictions, rejected ads or policy changes, unless directly caused by our negligence. Platform decisions, such as disapproving an ad or restricting an account, are made by the platform. We will help you respond where we can.
Our website and Campaign Portal may link to third-party sites. We are not responsible for their content, security or privacy practices.
9. Intellectual property and ownership of data
Deliverables. Original creative work we produce remains ours until you pay in full. After full payment, you receive the usage rights to the final approved Deliverables stated in your Order, or, if none are stated, a perpetual right to use them for your business. Drafts, rejected concepts, source and working files, internal documents, strategy frameworks and templates stay ours unless we agree otherwise in writing.
Third-party elements. Stock images, music, fonts, templates or influencer content in Deliverables remain subject to their own licences. We will tell you about any important licence limits.
Your materials and client data. You own your brand assets, materials and client data. You grant us a licence to use them only to provide the Services, including hosting, displaying and processing them in Campaign Portal. We do not claim ownership of your client data.
Campaign Portal and our know-how. We own Campaign Portal, our website, software, designs, processes and methods, including improvements. Your subscription gives you a limited, non-exclusive, non-transferable right to use Campaign Portal for your internal business purposes during your term. We may use anonymised, aggregated data that does not identify you or any individual to improve our Services and create industry benchmarks.
Feedback. If you suggest improvements, we may use them freely without obligation to you.
10. Confidentiality and data protection
Confidentiality. Each of us will keep the other’s confidential information private and use it only for our work together. This includes strategies, pricing, campaign data, login details, business plans and customer data. This duty continues after our relationship ends. It does not cover information that is already public, independently developed, received lawfully from someone else, or required to be disclosed by law.
Data protection. Our Privacy Policy explains how we handle personal information. When we process personal information on your behalf, such as your customers’ data for a campaign, you are the data controller and we act as your data processor under the Data Protection Act, 2012 (Act 843). We will process it only on your instructions to deliver the Services, keep it secure and confidential, and help you respond to requests from individuals. You are responsible for having a lawful basis for any personal data you give us or ask us to collect. We can sign a separate data processing agreement on request.
11. Results, warranties and limitation of liability
Results. We use strategy, creativity, data and good campaign management to improve your marketing. We do not guarantee specific results such as sales, revenue, leads, followers, conversions, rankings, reach or return on ad spend. Results depend on factors outside our control, including your product, pricing, offer, budget, competition, market conditions, audience behaviour and platform changes.
Our commitment. We will perform the Services with reasonable skill and care, using suitably qualified people. Apart from this, and to the extent the law allows, the Services, website and Campaign Portal are provided “as is” without other warranties, including fitness for a particular purpose or uninterrupted operation.
Limits. To the fullest extent the law allows:
- Neither party is liable for indirect or consequential losses, including lost profit, revenue, data, business opportunity or reputation.
- Our total liability for any claim is limited to the fees you paid for the specific service the claim relates to. For Campaign Portal, it is limited to the fees you paid for Campaign Portal in the 12 months before the claim.
- Ad spend, third-party costs and taxes do not count towards these limits as fees paid to us.
Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or anything else the law does not allow us to limit.
12. Indemnity
You agree to cover our reasonable losses, costs and legal fees arising from a third-party claim that results from: materials, data or instructions you provided; your products, offers or claims; content you approved; or your breach of these Terms or of the law. We will tell you promptly about any such claim and let you take part in its defence.
13. Suspension, termination, cancellations and refunds
Ending a subscription or retainer. Either party may stop a Campaign Portal subscription or retainer from renewing by giving written notice at least 14 days before the renewal date, unless your Order states a different notice period or minimum term. Package terms (for example, a 3-month package) run for their full term.
Termination for breach. Either party may end an Order immediately by written notice if the other materially breaches these Terms and does not fix the breach within 14 days of being asked to.
Suspension. We may suspend Campaign Portal access or pause work if payment is overdue after notice, if your use threatens security or other clients, or if needed to comply with the law or platform rules. We will restore access promptly once the issue is resolved.
Cancellations and refunds. Refunds depend on the service type, stage of work and costs already committed. Fees for consultations, strategy work, campaign planning, content already created, media buying management and work already started are generally non-refundable. Where a refund applies, it is based on the unused part of the service minus costs already incurred. Campaign Portal fees already paid for a current billing period are non-refundable unless we end the subscription without cause. Ad spend already used by platforms cannot be refunded by us.
What happens at the end. On termination, you pay for work done and costs incurred up to that date. Your access to Campaign Portal ends, and your account Owner can export reports and assets for 90 days. After that we delete your Campaign Portal data as described in our Privacy Policy and Data Deletion Instructions, except records we must keep by law. You should remove our access from your ad accounts and pages, and we will return or hand over access as agreed.
Sections that by their nature should continue, including payment, intellectual property, confidentiality, liability, indemnity and governing law, survive termination.
14. Portfolio, force majeure, governing law and general terms
Portfolio. Unless you ask us in writing not to, we may show completed work, your name and logo, testimonials you approve, and non-confidential results in our portfolio, website, social media, proposals and marketing. We will not publish confidential information without your permission.
Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, such as power or internet outages, platform outages, natural disasters, civil unrest, government action or pandemics. Payment obligations for work already done still apply.
Governing law and disputes. These Terms are governed by the laws of Ghana. We will first try to resolve any dispute through good-faith discussion within 30 days. If that fails, either party may refer it to mediation, and if still unresolved, to arbitration in Accra under the Alternative Dispute Resolution Act, 2010 (Act 798). Either party may still seek urgent relief from the courts of Ghana.
Changes to these Terms. We may update these Terms. We will post the new version here with a new date and notify active clients and Campaign Portal users by email or in-app notice at least 14 days before significant changes take effect. Continuing to use the Services after that means you accept the changes. Changes do not alter a signed Order during its current term.
General. These Terms, the Privacy Policy and any Order are the whole agreement between us on their subject. You may not transfer your rights without our written consent; we may transfer ours to a successor business. If any part is found unenforceable, the rest still applies. Not enforcing a right is not a waiver of it. Notices may be sent by email to the addresses each party has provided. We are independent contractors; nothing here creates a partnership or employment relationship.
